MoonPay

In this document, any references to the "Service" or “Services” or “Launchpad Services” includes the App Services, Wallet Services, Software Services, MoonPay CLI, MoonAgents App, Dawn CLI, Paybox, and/or Application Programming Interfaces (“APIs”), as the case may be.
Please read this document carefully, as it sets out the terms and conditions on which Launchpad will provide Services to you through our websites, APIs, mobile applications, or MoonPay CLI (together, our “Interface”).
By signing up to create an Account with Launchpad and use our Services, you agree that you have read and understood, and that you accept, all of the terms and conditions contained in this Agreement, as well as the MoonPay Privacy Policy and Cookie Policy.
This Agreement will govern the use of the Services provided to you by Launchpad. By using the Services you agree to be bound by the terms and conditions of this Agreement. If you do not agree to any of the terms in this Agreement, or any subsequent modiﬁcation to this Agreement, you will not be permitted to use the Services and your Account with us will be closed. This Agreement will come into effect when you confirm electronically that you agree to it. We recommend that you retain a copy of this Agreement and your transaction records.
For the purposes of this Agreement:
1. An “Account” means an online account created by you in order to access the Services.
2. A "Business Day" means any day which is not a Saturday, Sunday or public holiday in the British Virgin Islands and which banks are open for business.
3. “Cryptocurrency” or “Cryptocurrencies” means a digital asset that is a digital representation of value that can be digitally traded, transferred or stored electronically using distributed ledger technology.
4. “Order” means a request for the Services.
5. “MoonPay Group” means all of the parents, affiliates, and subsidiaries of Launchpad, collectively.
6. “Wallet” means a software application, hardware device, smart contract account, or other technical mechanism that enables a user to generate, store, manage, or use cryptographic private keys or other authentication credentials associated with one or more blockchain addresses, and thereby initiate, authorize, sign, or facilitate transactions involving digital assets on a blockchain network..
7. “MoonPay CLI” means the command-line software interface, including any related binaries, scripts, software development kits, documentation, updates, and associated endpoints, that enables you to access, initiate, or transmit requests to certain connected services from a local computing environment. For the avoidance of doubt, MoonPay CLI does not include any AI agent, large language model, or similar AI functionality, which are third-party tools not provided or operated by Launchpad. Where this Agreement refers to the MoonPay CLI, this includes access via the MoonAgents App,
8. “MoonAgents App” means the application which provides users with access to the MoonPay CLI. It includes related binaries, scripts, software development kits, documentation, updates, and associated endpoints, that enables you to access, initiate, or transmit requests to certain connected services from a local computing environment. For the avoidance of doubt, the MoonAgents App does not include any AI agent, large language model, or similar AI functionality, which are third-party tools not provided or operated by Launchpad.
9. "Dawn CLI" means the command-line software interface, including any related binaries, scripts, software development kits, documentation, updates, and associated endpoints, that enables you to research prediction markets, build and deploy trading strategies, and interact with third-party prediction market platforms from a local computing environment. For the avoidance of doubt, Dawn CLI does not include any AI agent, large language model, or similar AI functionality, which are third-party tools not provided or operated by Launchpad.
10. “MoonPay Verified Account” means a user account to access certain MoonPay Group services, for which the user has successfully completed the identity verification procedures required by MoonPay Group in accordance with its compliance program. Verification status may be limited, conditioned, or revoked based on ongoing monitoring, legal, or regulatory requirements, or risk assessments.
You understand, acknowledge and accept the following risks:
1. The risk of loss in trading or holding any Cryptocurrency (like Bitcoin) can be substantial. You should therefore carefully consider whether trading or holding Bitcoin or any other Cryptocurrency is suitable for you in light of your financial condition. In considering whether to trade or hold Cryptocurrency, you should be aware that:
  1. When you buy, sell or transfer Cryptocurrency you are dealing with a digital asset. This means that, like any other digital system, Cryptocurrencies are at risk of being hacked or affected by technical problems. This could result in you losing your Cryptocurrency or delaying your ability to sell, transfer or spend it;
  2. The price or value of a Cryptocurrency can change rapidly, decrease and potentially even fall to zero. Factors that may affect the value of a Cryptocurrency include a change in governing regulation, introduction of new Cryptocurrencies, or a change to how a Cryptocurrency works.
2. You acknowledge that we are not responsible for safeguarding or holding your Cryptocurrency, or any private keys or other security information needed to access your Cryptocurrency and that we are not responsible for any loss of Cryptocurrency resulting from theft, loss, or mishandling of Cryptocurrency private keys or other security information outside its control.
3. The Services provided to you by Launchpad are not regulated by any financial services regulatory authority. Accordingly, you have no recourse to any statutory dispute resolution, compensation, or complaints body, including but not limited to the BVI Financial Services Complaints Tribunal. No regulatory protections, compensation schemes, or statutory rights of redress that would otherwise apply to regulated financial services shall apply to the Services.

The Services are provided to you as is, upon your request.
Launchpad does not host Wallets, and is not a custodian of your funds, assets, or cryptographic keys; and
Launchpad DOES NOT provide trading or investment or brokerage accounts or facilities, nor does Launchpad provide investment or any other financial advice.
Third-Party Content and Services. In certain Services, you may view, have access to, and may use the informational content, products, or services of one or more third parties (“Third Party Content” and “Third Party Services” respectively). In each such case, you agree that you view, access or use such content and services at your own election. Your reliance on any Third Party Content and use of Third Party Services in connection with the Offerings is governed on one hand by this Agreement but, on the other, will also generally be subject to separate terms and conditions set forth by the applicable third party content and/or service provider. Those terms and conditions may involve separate fees and charges or may include disclaimers or risk warnings about reliance on or the accuracy of any information. Such terms may also apply a privacy policy different from that which Launchpad maintains and incorporates into this Agreement. It is your responsibility to understand the terms and conditions of Third Party Services, including how those service providers use any of your information under their privacy policies.
Third Party Content and Third Party Services are provided for your convenience only. We do not verify, curate, or control Third Party Content. We do not control Third Party Services. As a result, we do not guarantee, endorse, or recommend such content or services to any or all users of the Services, or the use of such content or services for any particular purpose. You access, rely upon or use any Third Party Content or Third Party Service at your own risk. Launchpad disclaims all responsibility and liability for any Losses on account of your reliance upon or use of such content or services. We have no responsibility for Third Party Content that may be misleading, incomplete, erroneous, offensive, indecent, or otherwise objectionable to you or under the law in your jurisdiction. The choice to rely on Third Party Content or to use a Third Party Service is your own, and you are solely responsible for ensuring that your reliance or use is in compliance with all applicable laws. Dealing or correspondence with any third party that provides such content or services is solely between you and that third party. We reserve the right to change, suspend, remove, disable, or impose access restrictions or limits on the use of any Third Party Service at any time without notice.
AI Agents and Large Language Models. Launchpad does not provide, operate, or control any AI agent, large language model, or similar AI functionality. Any such tools used in connection with MoonPay CLI, MoonAgents App, Dawn CLI, or Paybox are third-party software that you independently source, configure, and direct. Those tools are not part of the Services and are not provided or endorsed by Launchpad. Any output generated by a third-party AI agent or large language model does not constitute investment advice, financial advice, trading advice, or any other form of professional or regulated advice, and does not reflect the views, analysis, judgement, or recommendations of Launchpad or any member of the MoonPay Group. Launchpad expressly disclaims all liability for any output generated by third-party AI tools and for any losses arising from your reliance on such output. Launchpad does not execute trades, place orders, manage positions, or otherwise act on your behalf in any capacity. MoonPay CLI and Dawn CLI may transmit instructions that you authorise to third-party platforms. Where you use a third-party AI agent or language model to generate or automate those instructions, all such instructions are deemed to be given by you. Launchpad has no visibility into the instructions you provide to any third-party AI tool and accepts no responsibility for the actions taken or trades executed as a result. Launchpad does not curate, endorse, or recommend any market, outcome, event, strategy template, or trading position made available through MoonPay CLI or Dawn CLI. The availability of any market, template, or tool within MoonPay CLI or Dawn CLI reflects the availability of that content on the relevant third-party platform and does not constitute a recommendation or endorsement by Launchpad. For the avoidance of doubt, the foregoing applies equally to your use of Paybox and any AI agent, large language model, or other automated client you connect to it.

As part of our Services, we may make available certain software allowing you to create and access a non-custodial Wallet. Wallets are made available to you either as a MoonPay Account or through our wallet-as-a-service infrastructure (“WaaS”), which may use different technology to secure your assets, as described in this Section 5. You understand and agree that because your Wallet is a non-custodial Wallet, you are solely responsible for maintaining access to it.
This Wallet will allow you to (a) self-custody your digital assets; (b) control the private keys or key shares to your Wallet; (c) link to third party applications, including decentralized exchanges ("DEXs") and third party decentralized applications; (d) view addresses and information that are part of digital asset networks and broadcast transactions; (e) participate in DEX trades and associated DEX activity on a peer-to-peer basis; (f) access AI-based automated agents operating under your control; and/or (g) perform other services and access other functionality that we or third parties may make accessible from the Wallet from time to time.
To create a Wallet, you may be required to sign in using email, phone number, or a third-party login (e.g., Google or Apple), and to complete a verification step such as a one time password (“OTP”) or passkey enrollment. You agree to provide us with your information and not to provide another person's email, phone number or other identity information. This Wallet will be linked to your Account and is controlled by you.
When you create a Wallet, random entropy is created, which is used to generate cryptographic key material. Your Wallet is associated with a private key, which is exportable and which you may back up, hold, and use independently of us. We do not store a usable copy of your private key and cannot access it. In some circumstances however, we may be able to assist in the recovery of your private key. Your Wallet may also be protected by additional authentication factors that you control, such as a passkey, password, or OTP. These factors verify your identity but do not, by themselves, give us the ability to access your private key or control your assets.
Once you have created and authenticated to your Wallet, you may initiate Wallet-related transactions using our Services. Every transaction requires your authorisation using your private key or the authentication factors associated with your Wallet, except where you authorise an AI agent or automated system to transact within limits you define, in which case transactions may be signed autonomously within that authorisation. We do not sign transactions or messages on your behalf, do not control your Wallet, and cannot generate a valid signature or transfer your assets without your authorisation. We have no duty to inquire into or investigate the validity or accuracy of any transaction, though we may do so at our sole discretion. You are responsible for the security of your private key, your devices, and any authentication factors associated with your Wallet. You are also responsible for any and all activity originating from your Wallet. We will not be responsible if someone else gains access to your private key, device, or authentication factors and authorises a transaction as a result. You should notify us immediately if your private key, device, or authentication factors have been lost, stolen, or otherwise compromised.
You may export your private key and/or back it up at any time, and we recommend that you do so. You may also request that we delete any encrypted backup materials associated with your Wallet that we hold. Your ability to recover your Wallet depends on you retaining access to your private key, or an exported backup of it, together with any authentication factors required to access your Wallet. If you lose access to your private key, any backup of it, and/or the associated authentication factors, your Wallet may not be recoverable, and we may not be able to recover it for you.
We have no ability to access any raw private key information. Launchpad does not provide any custodial Wallet services and does not hold, safeguard or administer private keys or Cryptocurrency for its Customers. We cannot initiate a transfer of Cryptocurrencies or otherwise access Cryptocurrencies in your Wallet.
We are not your brokers, intermediaries, agents, advisors, or custodians, and we do not have a fiduciary relationship or obligation to you regarding any decisions in connection with a Wallet or our Services. We are not responsible for any activities that you engage in when using your Wallet, and you should understand the risks associated with Cryptocurrencies.
You are solely responsible for maintaining the security of your private keys and your Wallet. You acknowledge and agree, without prejudice to any other terms in this Agreement, that you bear all of the risk of any loss of access to your Wallet and any Cryptocurrencies contained in it. We do not control and are not responsible for the Cryptocurrencies in your Wallet. You are solely responsible for any Cryptocurrencies transferred to or from your Wallet and we make no, and hereby disclaim all, representations, warranties, claims and assurances as to any such transactions. If you lose your keys to your Wallet, you may lose access to your Wallet and any Cryptocurrencies contained in it. We are not liable for fluctuations in the value of Cryptocurrencies in your Wallet.

Authentication.
1. MoonPay CLI Access. Use of MoonPay CLI requires authentication through the MoonPay CLI portal (the “MoonPay CLI Portal”) by providing an email address and an OTP. The OTP establishes a session permitting MoonPay CLI to submit requests on your behalf. OTP authentication depends on time-limited credentials and third-party communication systems, and you may be required to reauthenticate periodically. Launchpad does not guarantee continuous availability of authenticated sessions and is not responsible for interruptions to your use of MoonPay CLI. Launchpad may implement temporary authentication restrictions, which may delay or prevent session establishment.
2. MoonPay Verified Account. Certain MoonPay Group products and services that may be accessed through MoonPay CLI require an active MoonPay Verified Account. Where a MoonPay Verified Account would ordinarily be required when accessed through any other interface, the same requirements apply when accessed through MoonPay CLI. MoonPay Group products and services accessed through MoonPay CLI remain subject to all applicable MoonPay Group terms, policies, disclosures, and other documents and requirements.
3. Session Credentials and Local Storage. Following successful authentication through the MoonPay CLI Portal, Launchpad may issue a session token, access token, or similar authentication credential (individually and collectively, “Session Credentials”) enabling MoonPay CLI to submit requests on your behalf without requiring re-authentication for each command.
  1. MoonPay CLI may store Session Credentials locally on your device. Session Credentials are device-bound and should not be shared.
  2. Any person with access to the device or environment in which the Session Credentials are stored may be able to perform actions associated with your MoonPay Verified Account. You are solely responsible for maintaining the security of your devices, terminals, shell environments, environment variables, and local files in which Session Credentials may reside.
  3. Launchpad does not control your local environment and is not responsible for unauthorized activity resulting from compromise, malware, remote access software, shared workstations, exposed repositories, or other user-side security failures.
  4. You must promptly terminate active sessions and reauthenticate if you believe your Session Credentials have been exposed or your device has been compromised.
  5. Launchpad may invalidate Session Credentials at any time.
4. Actions Performed via MoonPay CLI. Your use of MoonPay CLI authorizes Launchpad to rely on any instructions submitted using valid Session Credentials as an instruction submitted by you.
Non-Custodial Wallet and Key Management. Upon initial configuration of MoonPay CLI, you will be prompted to generate a cryptographic key pair and associated blockchain wallet (the “CLI Wallet”). The CLI Wallet is generated locally on your device and private keys remain exclusively within your local environment. Launchpad does not create, receive, store, transmit, or otherwise have access to your private keys, seed phrases, or signing material. YOU MUST SAVE YOUR PRIVATE KEYS TO ENSURE YOU CAN ACCESS YOUR CLI WALLET. DO NOT GENERATE, IMPORT, OR STORE PRIVATE KEYS OR MNEMONIC PHRASES ON SHARED, PUBLIC, OR UNTRUSTED DEVICES OR ENVIRONMENTS.
1. MoonPay CLI may interact with certain MoonPay Group services and other connected services by submitting requests associated with the CLI Wallet and, where applicable, by transmitting transactions that you authorize and sign using your locally held private keys. Launchpad DOES NOT CUSTODY DIGITAL ASSETS ASSOCIATED WITH THE CLI WALLET AND DOES NOT HAVE THE ABILITY TO RECOVER, RESET, OR RECONSTRUCT YOUR PRIVATE KEYS.
2. You are solely responsible for safeguarding your private keys, seed phrases, backups, and any device on which the CLI Wallet is stored. Loss, theft, or compromise of your private keys will result in permanent loss of access to the CLI Wallet and any digital assets held in it. Launchpad will not be able to restore access or reverse transactions.
3. Any transaction, signature, authorization, or instruction submitted using the CLI Wallet will be deemed authorized by you. Launchpad may rely on cryptographic verification of a signature as conclusive evidence of your approval of the associated action, subject to Launchpad’s internal compliance and security procedures.
Automated Use and Scripting. MoonPay CLI is designed to permit programmatic and automated interaction with certain MoonPay Group services, including through scripts, schedulers, AI agents, trading bots, or other software processes (“Automated Systems”) controlled or instructed by you. You may use Automated Systems to submit instructions through MoonPay CLI, provided such use complies with all applicable terms and policies.
1. MoonPay CLI may interoperate with or facilitate access to third-party software, networks, or services. Those third parties operate independently and are governed by their own terms and policies. For convenience, Launchpad may provide links or references to certain third-party terms in the MoonPay CLI repository README. You are solely responsible for reviewing and complying with any applicable third-party terms when using MoonPay CLI in connection with external services.
2. YOU ARE SOLELY RESPONSIBLE FOR ALL ACTIONS INITIATED BY ANY AUTOMATED SYSTEM YOU CONFIGURE, DEPLOY, OR PERMIT TO OPERATE USING YOUR AUTHENTICATED SESSION, SESSION CREDENTIALS, OR MOONPAY VERIFIED ACCOUNT. LAUNCHPAD DOES NOT MONITOR THE INTENT, LOGIC, FREQUENCY, OR CORRECTNESS OF INSTRUCTIONS SUBMITTED THROUGH MOONPAY CLI AND HAS NO OBLIGATION TO DETECT ERRORS, UNINTENDED TRANSACTIONS, REPEATED SUBMISSIONS, OR ABNORMAL BEHAVIOR CAUSED BY YOUR AUTOMATED SYSTEMS.
3. LAUNCHPAD ACTS ONLY ON INSTRUCTIONS RECEIVED AND DOES NOT EXERCISE DISCRETION, JUDGMENT, OR INVESTMENT DECISION-MAKING ON YOUR BEHALF. SUBMISSION OF INSTRUCTIONS THROUGH AUTOMATED SYSTEMS DOES NOT CREATE ANY ADVISORY, FIDUCIARY, BROKERAGE, OR AGENCY RELATIONSHIP BEYOND EXECUTION OF USER-INITIATED REQUESTS.
4. Launchpad may, in its sole discretion and without any prior notice to you, modify or update the MoonPay CLI, and/or implement rate limits, safety checks, transaction caps, geographic restrictions, or temporary holds. Launchpad may reject, delay, or suspend CLI requests where it determines such actions are appropriate. Such modifications or controls may affect Automated Systems and Launchpad is not responsible for resulting interruptions, partial execution, inconsistent outcomes, financial losses, or damages.
5. You must design your Automated Systems to handle failures, rejected requests, and partial responses safely. Launchpad does not control your Automated Systems and is not liable for losses arising from your Automated Systems.
Local Environment and Execution Risk. MoonPay CLI is software that executes within your local computing environment and may interact with external systems based on instructions you provide. Launchpad does not control or instruct your operating system, terminal configuration, installed dependencies, network routing, storage locations, or any other aspect of your local environment.
1. You acknowledge that use of command-line software inherently involves the execution of user-provided commands, piping of output to other programs, modification of local files, handling of environment variables, and interaction with third-party software and services. Launchpad is not responsible for the effects of commands you run, how you use CLI, or how other software on your device interprets or uses CLI or its output.
2. You are responsible for reviewing commands before execution, protecting sensitive information displayed in terminal output, and ensuring that your use of MoonPay CLI does not expose private keys, credentials, wallet addresses, configuration files, or other confidential data. Launchpad does not access or recover data stored locally on your device and cannot reverse local system changes.
3. YOU ACKNOWLEDGE THAT AUTOMATED SYSTEM-GENERATED INSTRUCTIONS MAY BE INCORRECT, INCOMPLETE, OR OTHERWISE ERRONEOUS AS A RESULT OF MODEL ERROR, HALLUCINATION, MISINTERPRETATION, OR INCOMPLETE INFORMATION, AND THAT LAUNCHPAD DOES NOT ACCEPT ANY LIABILITY FOR LOSSES ARISING FROM THE EXECUTION OF SUCH INSTRUCTIONS.
4. Launchpad is not liable for damage to hardware, software, data, accounts, or external systems arising from local execution, misconfiguration, incompatible dependencies, malicious package, clipboard interception, shell history retention, remote access tools, or other characteristics of your computing environment.
Where MoonPay CLI is used to access or interact with the MoonAgent Card, the following additional terms apply.
1. The MoonPay CLI can be used to access virtual prepaid card services (“MoonAgent Card”). Without prejudice to Section 3, the MoonAgent Card is issued by Monavate Ltd. The provision of the MoonAgent Card is governed by separate card issuance terms (the "Card Issuance Terms") between you and Monavate Ltd. Launchpad and MoonPay take no responsibility for the Card Issuance Terms or the services provided under them, which are the sole responsibility of Monavate Ltd. Neither Launchpad nor MoonPay is a card issuer, and neither issues, manages, or holds any funds associated with the MoonAgent Card.
2. Any use of Automated Systems to initiate, manage, or instruct MoonAgent Card transactions through MoonPay CLI is undertaken entirely at your own risk. Neither Launchpad nor MoonPay operates, controls, endorses, or accepts any responsibility or liability for any Automated System, or for any actions taken, instructions given, or outcomes arising from your use of such tools in connection with MoonAgent Card. No agent, representative, or Automated System — including any artificial intelligence or large language model — acts on behalf of MoonPay or Launchpad to provide personalised recommendations or guidance in relation to the MoonAgent Card.
3. Monavate Ltd acts as an independent third-party controller of your personal information as it relates to your use of MoonAgent Card and may use such information subject to their own policies.

This Section 6A governs access to third-party prediction market platforms — including Polymarket Inc. (“Polymarket”) and any other third-party prediction market platform — regardless of the Launchpad interface used. It applies to access via Dawn CLI and MoonPay CLI (including where accessed via the MoonAgents App). Each of these interfaces is a technical interface only and does not include or incorporate any AI agent, large language model, or similar AI functionality. For Dawn CLI, all provisions of Section 6 that apply to MoonPay CLI apply equally, including those relating to authentication, session credentials, local storage, non-custodial wallet and key management, automated use and scripting, and local environment and execution risk, except as varied by this Section 6A. Launchpad does not execute trades, place orders, or act on your behalf in any capacity through any interface.
Third-Party Prediction Market Platforms. To the extent that any interface covered by this Section 6A facilitates or enables access to third-party prediction market platforms, including Polymarket. Launchpad is not a party to any agreement between you and Polymarket or any other third-party platform accessed through Dawn CLI or MoonPay CLI. Your use of any such platform is governed entirely by that platform's own terms of service, trading rules, and policies, which are independent of this Agreement. You are solely responsible for reviewing and complying with all applicable third-party platform terms before trading.
No Curation or Endorsement. Launchpad does not curate, select, endorse, or recommend any market, event, outcome, strategy, or template made available through Dawn CLI or MoonPay CLI. Markets and events appear within Dawn CLI or MoonPay CLI based on availability on the relevant third-party platform.
Geographic Restrictions. Third-party prediction market platforms, including Polymarket, are not available in all jurisdictions. You may not use Dawn CLI or MoonPay CLI or any prediction market functionality accessible through the Dawn CLI or MoonPay CLI if you are located in, are a resident of, or are accessing the Services from any of the following jurisdictions (each a "Prediction Market Restricted Jurisdiction"): Algeria, Argentina, Austria, Australia, Belgium, Bolivia, Bulgaria, Burkina Faso, Cameroon, Canada, Central African Republic, China (PRC), Congo (Republic of), Côte d'Ivoire, Croatia, Cuba, Cyprus, Czechia, Democratic Republic of the Congo, Denmark, Estonia, Ethiopia, Finland, France, Germany, Greece, Guinea-Bissau, Hungary, Iran, Iraq, Ireland, Italy, Kenya, Kosovo, Laos, Latvia, Lebanon, Libya, Lithuania, Luxembourg, Mali, Malta, Monaco, Mongolia, Morocco, Mozambique, Myanmar, Namibia, Netherlands, New Zealand, Nicaragua, Niger, North Korea, Pakistan, Palestine, Panama, Poland, Portugal, Romania, Russia, Senegal, Singapore, Slovakia, Slovenia, Somalia, South Sudan, Spain, Sudan, Sweden, Switzerland, Syria, Taiwan, Thailand, Uganda, Ukraine, United Arab Emirates, United Kingdom, United States, Venezuela, Western Sahara, Yemen, Zimbabwe.
The list of Prediction Market Restricted Jurisdictions may be amended by Launchpad from time to time, without prior notice to you, to reflect changes in applicable law, regulatory guidance, third-party platform requirements, or Launchpad's own compliance programme. By using Dawn CLI or MoonPay CLI, you represent and warrant on a continuing basis that your access to and use of any connected platform is lawful in your jurisdiction, that you satisfy all eligibility requirements imposed by that platform, and that you are not located in, resident in, or accessing the Services from a Prediction Market Restricted Jurisdiction. It is your sole responsibility to monitor and comply with the current list of Prediction Market Restricted Jurisdictions. If you are or become located in a Prediction Market Restricted Jurisdiction, you must immediately cease all use of Dawn CLI or MoonPay CLI and/or any connected prediction market functionality, as required. Launchpad makes no representation that MoonPay CLI or Dawn CLI or any connected platform is appropriate or available for use in any particular location. Launchpad reserves the right to implement technical controls, including geographic blocking, to restrict access from Prediction Market Restricted Jurisdictions, but the existence or absence of any such control does not affect your obligations under this provision. Launchpad shall not be liable for any loss or damage arising from your continued use of Dawn CLI or MoonPay CLI from a Prediction Market Restricted Jurisdiction.
Use of Third-Party AI Agents and Language Models. Dawn CLI and MoonPay CLI do not include any AI agent, large language model, or similar AI functionality. Where you choose to use a third-party AI agent or language model to generate, automate, or instruct commands through Dawn CLI or MoonPay CLI, you do so entirely at your own risk. Such tools are not provided, operated, endorsed, or controlled by Launchpad and are not part of the Services. All provisions of Section 6 relating to Automated Systems apply to any such use.
Simulated Trading. Dawn CLI may provide or facilitate access to simulated or paper trading functionality that enables you to model, test, or demonstrate prediction market strategies without committing real funds or assets. Any such simulated trading functionality is provided for informational and educational purposes only. Launchpad makes no representation or warranty that simulated trading results are indicative of actual trading outcomes. Participation in simulated trading does not entitle you to any reward, prize, payment, profit, token, or other benefit of any kind, and no such entitlement shall arise by implication or otherwise. Launchpad reserves the right to modify, suspend, or discontinue any simulated trading functionality at any time without notice or liability.

This Section 6B governs your use of Paybox, an agents-first credential vault that lets you store credentials and other sensitive materials once and grant AI agents and other software clients (each, an “Agent Client”) scoped access to those materials under rules you define. The provisions of Section 6 relating to Session Credentials, Automated Systems, and local environment and execution risk apply to your use of Paybox and Agent Clients. The provisions of Sections 5 and 12 relating to non-custodial wallets, private keys, and Cryptocurrency risk apply to any wallet accessed by, or with information stored in, Paybox, in each case except as varied by this Section 6B.
Paybox is a control plane for credentials only. Paybox is not a custodian, money transmitter, payment processor, broker, exchange, or merchant of record, and does not hold, transmit, or move money or digital assets on your behalf. Funds and on-chain value never pass through Paybox; they move directly between your funding source and the relevant recipient or merchant.
Paybox is a standalone product with its own onboarding and may not require a MoonPay Account. Access requires authentication using the credentials and methods we make available, which may include a passkey or biometric step-up, and you are solely responsible for safeguarding those authentication methods, your devices, and the security of your Paybox account. Where a MoonPay Group product or service accessed through Paybox would ordinarily require a MoonPay Verified Account or be subject to other MoonPay Group terms, those requirements and terms continue to apply.
Paybox can store Secrets, and, where made available, payment cards. Paybox can also be used to manage keys for a self-custodial wallet. You are solely responsible for the materials you store in Paybox and/or self-custodial wallets accessed through Paybox, including their legality and accuracy and your right to store them. Launchpad does not monitor, verify, or curate the materials you store. Without prejudice to Section 13, you bear the risk of any loss, corruption, or unauthorised disclosure of materials stored in Paybox, and Launchpad is not liable for any such loss, corruption, or disclosure.
A “Secret” is any credential, key, password, identity document, or other value you store in Paybox other than a wallet or payment card. Launchpad does not collect, verify, or present any Secret (including any identity or “KYC” information) on your behalf or on behalf of any member of the MoonPay Group, and Secrets are user-managed values only. Unlike wallets and payment cards, a Secret may be returned in raw form to an Agent Client to which you have granted access, in accordance with the rules you set. You should only store a Secret in Paybox if you are willing for it to be disclosed to the Agent Clients you authorise, and any such disclosure is deemed to be made by you and at your direction.
You may create Agent Clients and configure the scope, limits, and permissions applicable to each (each, a “Grant”). You are solely responsible for creating, configuring, scoping, and revoking your Agent Clients and Grants. Any operation, request, or instruction submitted by an Agent Client using valid credentials and an applicable Grant is deemed to be authorised by you, whether or not you reviewed it. Launchpad does not control, monitor, or assess the intent, logic, frequency, or correctness of any Agent Client, Grant, or the instructions an Agent Client submits, and Launchpad has no obligation to detect errors, unintended operations, or abnormal behaviour. Launchpad acts only on operations permitted or approved under your Grants and does not exercise discretion or judgement on your behalf. Your use of Paybox does not create any advisory, fiduciary, brokerage, or agency relationship. You bear all risk arising from the actions of any Agent Client you create, configure, or permit to operate.
Paybox allows you to choose an approval mode for each Agent Client, which may require your approval for every operation, require approval only above defined limits, or permit autonomous operation within a defined Grant. Approvals are bound to the specific operation submitted; if an Agent Client changes that operation, a new approval is required. Where you permit autonomous operation, you accept that operations within the Grant may be executed without a specific review by you, and you are solely responsible for the scope you authorise. Launchpad only allows operations that are permitted under your Grant or that you approve.
Where an operation is permitted, Paybox returns, wherever possible, a derived and scoped output rather than your underlying credential (each a “Credential Output”): for payment operations, a scoped payment token or virtual card; for wallet operations, a signature, signed message, or transaction hash; and for Secrets, a short-lived access token or, where your Grant so permits, the raw Secret.
Wallets in Paybox, or accessed through Paybox, are non-custodial. Launchpad does not custody digital assets associated with a Paybox wallet and cannot recover, reset, or reconstruct your private keys or key shares. Loss of access to your authentication methods or key share may result in permanent loss of access to the wallet and any digital assets in it, and Launchpad cannot restore access or reverse transactions.
Payment card functionality is provided using one or more third-party providers. Raw card data is held by those providers and not by Launchpad, and Agent Clients receive only scoped payment tokens or virtual cards. Launchpad is not a card issuer, acquirer, or payment processor and does not hold any funds associated with a payment card. Your payment card and its funding source remain governed by the terms of your card issuer, and any dispute, chargeback, or refund is handled by your card provider in the ordinary way. Launchpad does not provide dispute resolution for card transactions.
Launchpad may screen wallets, destination addresses, recipients, and counterparties, including using third-party screening providers, and may in its sole discretion and without notice decline to produce a signature, decline to issue or release a Credential Output, reject or discard an operation, or restrict or close your Paybox account, including to manage sanctions, financial crime, or reputational risk. You must not use Paybox in, or for the benefit of, any Sanctioned Country or Sanctioned Person (each as defined in Section 22) or in connection with any activity prohibited by Launchpad or its providers. The existence or absence of any such control does not affect your obligations under this Agreement or give rise to any liability for Launchpad.
You may revoke an Agent Client’s access at any time, and you may use the kill switch in your Paybox account settings to suspend all Agent Client access. You must promptly revoke access, use the kill switch, and notify us if you believe your Paybox account, any Agent Client, or any credential has been compromised.

This Section 5A governs your use of any interface made available through the App Services and/or Wallet Services that connects you to a DEX, DEX aggregator, or other third-party decentralized liquidity provider (together with any associated Cryptocurrency purchase, sale, or exchange functionality, the “DeFi Interface”). The DeFi Interface enables you to connect your Wallet directly with a third-party DEX, DEX aggregator, or third-party decentralized liquidity provider to purchase, sell, or exchange other Cryptocurrency. The provisions of Section 5 relating to non-custodial Wallets, private keys, and your responsibility for Wallet activity apply to your use of the DeFi Interface, except as varied by this Section 5A.
No DEX; No Execution. Launchpad is not a DEX and does not execute, clear, settle, or act as counterparty to any trade made using the DeFi Interface. The DeFi Interface is a technical interface only: when you submit an order, you transact directly and on a peer-to-peer basis with a third-party DEX or liquidity provider, and Launchpad is not a party to, and has no visibility into or control over, that transaction.
Third-Party Terms. Your use of any DEX or liquidity provider accessed through the DeFi Interface is governed by that third party's own terms, trading rules, and policies, which are independent of, and in addition to, this Agreement. Launchpad is not a party to any agreement between you and a DEX, DEX aggregator or third-party decentralized liquidity provider. The provisions of Section 3 relating to Third Party Content and Third Party Services apply to your use of the DeFi Interface.
LAUNCHPAD DOES NOT GUARANTEE THAT ANY ORDER SUBMITTED THROUGH THE DEFI INTERFACE WILL BE AVAILABLE, WILL BE EXECUTED, OR WILL BE EXECUTED AT ANY PARTICULAR TIME, PRICE, OR QUANTITY. THE AVAILABILITY OF ANY PURCHASE, SALE, OR EXCHANGE IS SUBJECT TO LIQUIDITY AND NETWORK AND MARKET CONDITIONS ON THE RELEVANT DEX, ALL OF WHICH ARE OUTSIDE LAUNCHPAD'S CONTROL, AND LAUNCHPAD IS NOT RESPONSIBLE FOR ANY DELAY, FAILURE, OR PARTIAL EXECUTION OF ANY ORDER.
Pricing. Exchange rates, quotes, and pricing shown within the DeFi Interface are generated by third-party DEXs or liquidity providers based on prevailing market conditions at the time of your transaction, and may change, including between the time a quote is shown to you and the time your transaction is submitted to or confirmed on the relevant blockchain. Launchpad does not set, control, or verify these rates.
Availability. The DeFi Interface is not available in all jurisdictions, and Launchpad may restrict, condition, or discontinue access to the DeFi Interface, in whole or in part, at any time and without notice. Even where the DeFi Interface is generally available to you, particular Cryptocurrencies, networks, or other functionality made available by a DEX may not be available, or may not be lawful for you to access, in your jurisdiction. It is your sole responsibility to ensure that your use of the DeFi Interface, and of any Cryptocurrency you access through them, complies with the laws applicable to you.
No Curation or Endorsement. Information displayed within the DeFi Interface about a Cryptocurrency, such as its name, symbol, or trading volume, may be sourced from third-party data providers. Launchpad does not verify, curate, or endorse this information, or any Cryptocurrency, DEX, or liquidity provider made available through the DeFi Interface, and the availability of any Cryptocurrency within the DeFi Interface reflects only its availability on the relevant third-party platform.
Fees. Fees applicable to the DeFi Interface will be presented to you before you confirm a transaction and/or notified via the DeFi Interface from time to time, and form part of the fees referred to in Section 9. Fees for the DeFi Interface may include amounts retained by Launchpad in addition to network, gas, or third-party liquidity provider fees, which are outside Launchpad's control and may vary.
In addition to the risks described elsewhere in this Agreement, you acknowledge and accept that DEXs and liquidity providers accessed through the DeFi Interface operate through autonomous smart contracts that may contain bugs, vulnerabilities, or design flaws, and that exploitation or failure of such a smart contract could result in partial or total loss of your Cryptocurrency. Cryptocurrencies made available through a DEX are not reviewed, vetted, or curated by Launchpad and may be illiquid, fraudulent, or highly speculative; you may be unable to sell or exchange such Cryptocurrency at your desired price, or at all, and Launchpad does not guarantee the availability of any purchase, sale, or exchange.
You further acknowledge that, when using the DeFi Interface, you transact directly and on a peer-to-peer basis with unknown third parties, and that Launchpad is not a counterparty to your transaction and cannot verify the identity, intentions, or trustworthiness of any other party. Activity on a DEX is not monitored by Launchpad for manipulative trading practices and may be more susceptible to such practices.
As set out in Section 3, Launchpad does not provide investment, financial, or trading advice, and nothing made available through the DeFi Interface, including any pricing, token information, or the mere availability of a Cryptocurrency, constitutes a recommendation or endorsement by Launchpad of that Cryptocurrency, any DEX or liquidity provider, or any trading strategy.

THE SERVICES ARE PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, OR TO THE EXTENT ANY STATUTORY RIGHTS APPLY THAT CANNOT BE EXCLUDED, LIMITED OR WAIVED, WE AND OUR AFFILIATES AND LICENSORS (A) MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE REGARDING THE SERVICES, THE THIRD PARTY CONTENT, OR THE THIRD PARTY SERVICES, AND (B) DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED OR EXPRESS WARRANTIES (I) OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT, (II) ARISING OUT OF ANY COURSE OF DEALING OR USAGE OF TRADE, (III) THAT THE SERVICES, THIRD PARTY CONTENT, OR THIRD PARTY SERVICE WILL BE UNINTERRUPTED, ERROR FREE OR FREE OF HARMFUL COMPONENTS, AND (IV) THAT ANY CONTENT WILL BE SECURE OR NOT OTHERWISE LOST OR ALTERED. YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE NOT RELIED AND ARE NOT RELYING UPON ANY REPRESENTATION OR WARRANTY FROM THE MOONPAY GROUP THAT IS NOT OTHERWISE IN THIS AGREEMENT OR IN A SEPARATE WRITTEN AGREEMENT BETWEEN US, AND YOU AGREE YOU WILL NOT TAKE A POSITION IN ANY PROCEEDING THAT IS INCONSISTENT WITH THIS PROVISION.
RISKS. OUR SERVICES RELY ON EMERGING TECHNOLOGIES, SUCH AS SOLANA. SOME SERVICES ARE SUBJECT TO INCREASED RISK THROUGH YOUR POTENTIAL MISUSE OF THINGS SUCH AS PUBLIC/PRIVATE KEY CRYPTOGRAPHY, OR FAILING TO PROPERLY UPDATE OR RUN SOFTWARE TO ACCOMMODATE PROTOCOL UPGRADES, SUCH AS THE TRANSITION TO PROOF OF STAKE CONSENSUS. BY USING THE SERVICES, YOU EXPLICITLY ACKNOWLEDGE AND ACCEPT THESE HEIGHTENED RISKS. YOU UNDERSTAND THAT THE COST AND SPEED OF A BLOCKCHAIN-BASED SYSTEM IS VARIABLE, THAT COST MAY INCREASE DRAMATICALLY AT ANY TIME, AND THAT COST AND SPEED IS NOT WITHIN THE CAPABILITY OF LAUNCHPAD TO CONTROL. YOU UNDERSTAND THAT PROTOCOL UPGRADES MAY INADVERTENTLY CONTAIN BUGS OR SECURITY VULNERABILITIES THAT MAY RESULT IN LOSS OF FUNCTIONALITY AND ULTIMATELY FUNDS.
YOU UNDERSTAND AND ACCEPT THAT LAUNCHPAD DOES NOT CONTROL ANY BLOCKCHAIN PROTOCOL, NOR DOES LAUNCHPAD CONTROL ANY SMART CONTRACT THAT IS NOT OTHERWISE OFFERED BY LAUNCHPAD AS PART OF THE SERVICES AND IS NOT ITSELF A THIRD PARTY SERVICE. YOU UNDERSTAND AND ACCEPT THAT LAUNCHPAD DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR THE TRANSITION OF ANY BLOCKCHAIN PROTOCOL FROM PROOF OF WORK TO PROOF OF STAKE CONSENSUS OR THE FUNCTIONING OF ANY PROTOCOL AFTER IT UNDERGOES A TECHNICAL UPGRADE. YOU UNDERSTAND AND ACCEPT THAT Launchpad DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR ANY THIRD PARTY SERVICE. YOU AGREE THAT YOU ALONE, AND NOT LAUNCHPAD, IS RESPONSIBLE FOR ANY TRANSACTIONS THAT YOU ENGAGE IN WITH REGARD TO SUPPORTING ANY BLOCKCHAIN PROTOCOL WHETHER THROUGH TRANSACTION VALIDATION OR OTHERWISE, OR ANY TRANSACTIONS THAT YOU ENGAGE IN WITH ANY THIRD-PARTY-DEVELOPED SMART CONTRACT OR TOKEN, INCLUDING TOKENS THAT WERE CREATED BY A THIRD PARTY FOR THE PURPOSE OF FRAUDULENTLY MISREPRESENTING AFFILIATION WITH ANY BLOCKCHAIN PROJECT. YOU AGREE THAT Launchpad IS NOT RESPONSIBLE FOR THE REGULATORY STATUS OR TREATMENT IN ANY JURISDICTION OF ANY DIGITAL ASSETS THAT YOU MAY ACCESS OR TRANSACT WITH USING Launchpad SERVICES. YOU EXPRESSLY ASSUME FULL RESPONSIBILITY FOR ALL OF THE RISKS OF ACCESSING AND USING THE SERVICES TO INTERACT WITH BLOCKCHAIN PROTOCOLS.

Neither Launchpad, nor any of its directors, employees or agents, shall be liable for any loss or damage sustained by you as a direct or indirect result of the provision by Launchpad of its Services, save that nothing in this Agreement shall exclude or restrict any liability of Launchpad resulting from:
1. death or personal injury;
2. for fraud, fraudulent misrepresentation or fraudulent misstatement; and/or
3. any statutory liability not capable of limitation.
Launchpad shall not be liable for loss of profits, loss of opportunity, loss of business, loss of savings, loss of goodwill, loss of Cryptocurrency, claims by third parties, loss of anticipated savings (whether direct or indirect) or for any type of special, direct, indirect or consequential loss howsoever caused, even if caused by Launchpad’s negligence and/or breach of contract and even if such loss was reasonably foreseeable or Launchpad had been advised of the possibility of such loss.
Launchpad disclaims all liability associated with the use of Cryptocurrencies, including:
1. unknown inherent technical defects;
2. regulatory or legislative changes; and
3. currency fluctuation.
Launchpad shall not bear any liability for any damage or interruptions caused by any computer viruses, spyware, scareware, Trojan horses, worms or other malware that may affect your computer or other equipment, or any phishing, spooﬁng or other attack. It is your responsibility to use a reputable and readily available virus screening and prevention software. You should also be aware that SMS and email services are vulnerable to spooﬁng and phishing attacks and should use care in reviewing messages purporting to originate from Launchpad.
You indemnify and hold us, our subsidiaries, members, directors, partners, officers, employees, contractors and agents harmless from and against any loss, liability, claim, demand, damages, costs, expenses (including legal fees) which may arise from or in connection with the Services, any content on the Services shared by you or other users, any third party websites or resources found through the services, any users of the services, or any breach of this Agreement, applicable laws or any law or regulation in any jurisdiction.
Except for the express statements set forth in this Agreement, you hereby acknowledge and agree that you have not relied upon any other statement or understanding, whether written or oral, with respect to your use and access of the Launchpad Services and Interface.

By agreeing to this Agreement, you represent, warrant and undertake to us that:
1. you have full power and authority to enter into this Agreement;
2. you understand and acknowledge that we do not warrant that any of the Services are suitable or appropriate for your needs and that you must take your own independent legal and other advice on such Services;
3. you are entering into this Agreement as principal and not on behalf of any third party;
4. you will not violate any applicable laws by entering into this Agreement or receiving the Services provided under it;
5. you will not facilitate any viruses, malware, worms, trojan horses or some other computer programming routines that may damage, corrupt, disrupt, misuse or gain unauthorised access to any data, system information or Launchpad services;
6. funds or Cryptocurrencies transferred to your Wallet have been acquired lawfully;
7. you will not use an anonymizing proxy, or any other automatic devices, spider or manual processes to copy or monitor our websites without our prior written permission;
8. you will not harass and/or threaten our employees, agents, or other users;
9. you understand and acknowledge that while we make reasonable endeavours to ensure the accuracy of the information that we provide, and which in turn, is provided to you, neither we nor any of our directors, employees or agents make any representation or warranty, express or implied, as to the accuracy or completeness of such information;
10. any information provided by you to Launchpad under this Agreement is true, complete, accurate, up to date and not misleading;
11. if you use the MoonPay CLI, the MoonPay CLI Portal, any other services described in Section 7, or Automated Systems, you represent and warrant to us that you have the knowledge and technical know-how to use those services; and
12. you shall provide all assistance reasonably requested by Launchpad to enable Launchpad to comply with its obligations under this Agreement.
The Launchpad Services are provided on an "as is" and "as available" basis, with no further promises made by us around availability of the Launchpad Services. Specifically, we do not give any implied warranties of title, merchantability, fitness for a particular purpose and/or non-infringement. We do not make any promises that access to the Interface, any of the Launchpad Services, or any of the materials contained therein, will be continuous, uninterrupted, timely, or error-free.
Launchpad makes no representation or warranty that the Services are applicable or appropriate for use by you and it is your responsibility to ensure you comply with any applicable laws.

You must comply with all applicable laws, regulations, licensing requirements and third party rights in your use of the Services.
We grant you a limited, non-exclusive, non-transferable licence, subject to the terms of this Agreement, to access and use the Interface, and related content, materials, information (collectively, the "Content") solely for approved purposes as permitted by us from time to time. Any other use of the Interface or Content is expressly prohibited and all other right, title, and interest in the Interface or Content is exclusively the property of Launchpad and its licensors. You agree not to copy, transmit, distribute, sell, licence, reverse engineer, modify, publish, or participate in the transfer or sale of, create derivative works from, or in any other way exploit any of the Content, in whole or in part.
"Launchpad", “MoonPay”, moonpay.com and all logos related to the Launchpad Services or displayed on the Interface are trademarks or registered marks of Launchpad or its licensors. You may not copy, imitate or use them without our prior written consent or any third party's copyright, trade secret, patent or other intellectual property rights, or rights of publicity or privacy.
Your use of the Services and the Interface is subject to international export controls and economic sanctions requirements. By using the Services to send, buy, or sell Cryptocurrencies, you agree that you will comply with those requirements. You are not permitted to acquire Cryptocurrency or use any of the Services through the Interface if:
1. you are in, under the control of, or a national or resident of Cuba, Iran, North Korea, Sudan, or Syria or any other country subject to United States embargo, UN sanctions, the European Union or HM Treasury's financial sanctions regimes (each a "Sanctioned Country"), or if you are a person on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Commerce Department's Denied Persons List, Unverified List, Entity List, or the EU or HM Treasury's financial sanctions regime (a "Sanctioned Person"); or
2. you intend to supply any acquired or stored Cryptocurrency or Services to a Sanctioned Country (or a national or resident of a Sanctioned Country) or Sanctioned Person.
Copies of the most up-to-date version of the Agreement will be made available at all times and will be provided to you by email on request.
Nothing in this Agreement shall be deemed or is intended to be deemed, nor shall it cause, either you or Launchpad to be treated as partners or joint ventures, or either you or Launchpad to be treated as the agent of the other.
You may not disclose or distribute a user’s information to a third party or use the information except as reasonably necessary to carry out a transaction and other functions reasonably incidental thereto such as support, reconciliation and accounting unless you receive the user’s express consent to do so. You may not send unsolicited communications to another user through Launchpad.
You are responsible for keeping your contact information, including your email address, up to date in order to receive any notices or alerts that we may send you.
This Agreement (including documents incorporated by reference herein) comprise the entire understanding and agreement between you and Launchpad as to the subject matter hereof, and it supersedes any and all prior discussions, agreements and understandings of any kind (including without limitation any prior versions of this Agreement), and every nature between and among you and Launchpad.
Section headings in this Agreement are for convenience only and shall not govern the meaning or interpretation of any provision of this Agreement.
This Agreement is personal to you and you cannot transfer or assign your rights, licences, interests and/or obligations to anyone else. We may transfer or assign our rights licences, interests and / or our obligations at any time to any persons, including but not limited as part of a merger, acquisition or other corporate reorganisation involving Launchpad, provided that this transfer or assignment does not materially impact the quality of the Launchpad Services you receive. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors and permitted assigns.
If any provision of this Agreement is determined to be invalid or unenforceable under any applicable law, this will not affect the validity of any other provision. If any provision is found unenforceable, the unenforceable provision will be severed, and the remaining provisions will be enforced.
We may not always strictly enforce our rights under this Agreement. If we do choose not to enforce our rights at any time, this is a temporary measure and we may enforce our rights strictly again at any time.
This Agreement and any information or notifications that you or we are to provide should be in English, unless applicable law states otherwise.
We may make this Agreement available to you in languages other than English. In the event of any conflicts between the English version and any other language, in all cases, the English version shall control.
In the event that Launchpad is acquired by or merged with a third party entity, we reserve the right, in any of these circumstances, to transfer or assign the information we have collected from you and our relationship with you (including this Agreement) as part of such merger, acquisition, sale, or other change of control.
All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, the Sections relating to suspension or termination, Launchpad Account cancellation, debts owed to Launchpad, general use of the Interface, disputes with Launchpad, and general provisions will continue to be binding and operate after the termination or expiration of this Agreement.
This Agreement will be governed by, and construed in accordance with the laws of the British Virgin Islands, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this Agreement or the Services (a “Dispute”) is subject to the arbitration provisions set out in Section 23 (Dispute Resolution by Binding Arbitration) below. This Agreement and any information or notifications that you or we are to provide will be in English.

Please read this Section carefully. It requires you and Launchpad to resolve most disputes through binding arbitration, not in court. This Section also includes a class action waiver and jury trial waiver. By using the Services, you agree to this Section.
Before commencing arbitration or legal proceedings, both parties agree to attempt to resolve any Dispute through good faith informal negotiations. The party initiating a Dispute must send a written notice (a “Dispute Notice”) describing the nature of the Dispute, the relief requested, and supporting information reasonably necessary to understand the issue. A Dispute Notice issued to us must be sent to [email protected], with a copy to Launchpad’s registered office in the British Virgin Islands. A Dispute Notice issued to you must be sent to the email address you have provided to us in connection with this Agreement. The parties will attempt in good faith to resolve the Dispute within thirty (30) days of receipt of the Dispute Notice. This informal process does not apply to claims relating to intellectual property rights, misuse of confidential information, or requests for emergency injunctive relief. If the Dispute is not resolved within the 30-day period, either party may commence arbitration as provided below.
Any Dispute that cannot be resolved informally must be referred to and finally resolved by binding arbitration under the LCIA Rules (London Court of International Arbitration), which are incorporated by reference into this Section. The seat of arbitration shall be the British Virgin Islands; the number of arbitrators shall be one; the language of the arbitration shall be English. The arbitrator shall have exclusive authority to resolve all issues, including the scope, enforceability, validity, and arbitrability of this Section, and may grant any relief that a court of competent jurisdiction could award, including injunctive relief. The arbitrator’s award will be final and binding, and judgment may be entered in any court of competent jurisdiction. Each party is responsible for its own legal fees and arbitration costs, except where the arbitrator determines that shifting such fees is required or appropriate under applicable law. The arbitration, including all materials exchanged, evidence submitted, and the final award, must be kept strictly confidential except as required by law or to enforce an award.
To the fullest extent permitted by law, all arbitrations must be conducted on an individual basis. Neither party may bring a claim as a plaintiff or class member in a class, collective, representative, or mass action, or seek to consolidate the claims of multiple parties into one arbitration. If this waiver is found unenforceable, this entire Section is void, and any Dispute must be resolved in the courts of the British Virgin Islands.
This Section survives termination or expiration of this Agreement, your use or attempted use of the Services, and any transfer or assignment permitted under this Agreement. If we make a material change to this Section, you may reject the change by sending us written notice within thirty (30) days of the change becoming effective. If you reject a change, the version of this Section in effect at the time you first accepted this Agreement will continue to apply. Rejection of a change to this Section does not affect any other provision of this Agreement.
You acknowledge that actual or threatened breaches of this Agreement may cause irreparable harm for which monetary damages would be inadequate. We are entitled to seek injunctive or other equitable relief in addition to any other remedies available at law or in equity, including in the courts of the British Virgin Islands or any other court of competent jurisdiction, notwithstanding the arbitration provisions above.
