We're excited to announce that MoonPay has entered into a definitive merger agreement to acquire North Capital Investment Technology.
Financial markets are becoming more technology driven every year, but the infrastructure behind them is still fragmented across different providers, tech stacks, and workflows. Securities markets feel that fragmentation most. This acquisition brings regulated private markets infrastructure directly into MoonPay's platform, rather than requiring MoonPay to build it from the ground up.
North Capital is a private markets infrastructure platform that combines API-first technology with regulated brokerage services. It supports capital raising, asset management, clearing, custody, and secondary trading for exempt securities, including tokenized securities, through investor onboarding tools, transaction processing, subscription escrow, and PPEX ATS, its registered alternative trading system. The platform has supported more than $8.7 billion in primary and secondary transaction volume, and PPEX lists more than 1,250 approved assets for secondary trading.
Once the transaction closes, North Capital becomes a wholly owned subsidiary of MoonPay, adding its securities brokerage and investment advisory businesses to MoonPay's global financial infrastructure platform. That includes North Capital's SEC registered broker dealers, its SEC registered alternative trading system, its SEC registered transfer agent, and its SEC registered investment adviser. Together, these give MoonPay a regulatory foundation built for private securities, extending well beyond its existing fiat and crypto infrastructure.
For issuers, intermediaries, and investors, this means access to a single platform spanning fiat, crypto, and now private securities, without piecing together separate providers for each. For MoonPay, it means the regulated infrastructure needed to support tokenized real world assets at the scale the market is moving toward.
Tokenization of real world assets is accelerating, but the systems connecting private markets to onchain rails have remained disconnected. Bringing North Capital's capabilities into MoonPay's platform is a step toward closing that gap, with programmable infrastructure spanning both sides.
