MoonPay College Terms and Conditions

These MoonPay College Program Terms and Conditions (these “Terms”) are between MoonPay USA LLC, a Delaware limited liability company (“MoonPay”), and you, and govern the MoonPay College Program, including the MoonPay College landing page at moonpay.com/college, the Campus Leader application, the notification signup form, and related communications, and your application to and participation in the MoonPay Campus Leader Campaign (the “Program”). By submitting an application, you agree to these Terms.

Participation in the Program may also involve use of MoonPay’s platform, website, products, or services, which are governed by MoonPay’s Terms of Use, available at https://www.moonpay.com/legal/terms_of_use_usa (the “Terms of Use”). By participating in the Program, you acknowledge that you have read, understand, and agree to the Terms of Use. To the extent of any conflict between these Terms and the Terms of Use with respect to your participation in the Program, these Terms shall control. For all other interactions with MoonPay’s platform, products, and services, the Terms of Use shall govern.

Eligibility

You must be at least 18 years old and currently enrolled at a college or university located in the United States to participate in the Program. The application and Program website are not intended for individuals under the age of 18. If you are under 18, please do not submit an application or provide any personal information. MoonPay does not knowingly collect personal information from individuals under 18, and any application submitted by an individual under 18 will be deleted upon discovery.

You are responsible for ensuring that your participation in the Program complies with any rules, policies, or requirements of your school, including any policies regarding commercial sponsorships, brand ambassador programs, or promotional activities on campus. If your school requires prior approval for participation in programs of this nature, you must obtain such approval before engaging in any Program activities on campus or using your school’s name, facilities, or resources in connection with the Program. MoonPay reserves the right to request evidence of such approval and to suspend your participation pending confirmation.

Application and Selection

Submitting an application does not guarantee acceptance into the Program. MoonPay may accept or reject applicants in its discretion and may consider factors such as experience, interests, location, school, availability, and Program needs. MoonPay may limit the number of participants at any school or geographic location.

By submitting an application, you acknowledge and consent to MoonPay reviewing your publicly available social media profiles, online presence, and other publicly available information as part of the application evaluation and vetting process. If you are selected for content creation or other paid opportunities, additional due diligence may be conducted by MoonPay or its third-party campaign partners prior to onboarding.

Program Participation

Program participants may have opportunities to participate in activities such as:

creating content;
attending events, workshops, or community programs;
receiving mentorship;
accessing developer tools, APIs, SDKs, or technical support;
providing product or community feedback; and
participating in other Program initiatives.

Specific activities, opportunities, benefits, and requirements may vary by participant and may change over time. Participation in the Program does not guarantee any particular opportunity, benefit, payment, event invitation, mentorship relationship, or level of access unless MoonPay expressly agrees otherwise in writing.

Content and Paid Opportunities

Certain Program opportunities may involve creating content or performing other services.

If you are selected for a content creation opportunity, you may be referred to a third-party agency or campaign partner engaged by MoonPay to manage the applicable campaign (a “Campaign Partner”). In that case, the Campaign Partner, not MoonPay, will be responsible for onboarding you, managing your participation in the campaign, reviewing and approving your content, and administering your compensation. You will be asked to enter into a separate agreement directly with the Campaign Partner, which will govern the applicable deliverables, compensation, intellectual property rights, disclosures, and other requirements for that engagement.

You acknowledge and agree that: (a) your engagement for paid content creation will be with the Campaign Partner, not MoonPay; (b) the Campaign Partner will engage you as its independent contractor; (c) MoonPay is not a party to and has no obligations under your agreement with the Campaign Partner; and (d) any disputes regarding compensation, deliverables, or other matters arising from a Campaign Partner engagement must be directed to the Campaign Partner.

Unless expressly stated in a separate agreement, participation in the Program itself does not entitle you to compensation.

MoonPay or Program partners may occasionally provide participants with merchandise, products, event access, promotional items, or other benefits.

Such benefits:

may be limited in quantity or availability;
may vary among participants;
are not guaranteed;
may be modified or discontinued at any time; and
do not constitute part of your compensation unless expressly identified as such in connection with a particular paid engagement.

Additional terms may apply to particular products, promotions, or benefits.

Your Content

a. General.

You represent that all content you submit or create in connection with the Program:

is your original work or that you have all necessary rights to use it;
does not infringe the rights of others;
is not false, misleading, defamatory, or unlawful; and
complies with applicable platform rules and any instructions provided for the applicable campaign.

b. General Program Content.

If you submit content directly to MoonPay for general Program purposes — such as event photos, blog posts, community feedback, or social media posts about your Program experience — you retain ownership of that content. By submitting it, you grant MoonPay a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and share that content for purposes of administering, promoting, and communicating about the Program, unless different terms are provided for the applicable activity.

c. Campaign Content.

If you are selected for a paid content creation opportunity managed by a Campaign Partner, the intellectual property rights in content you create for that engagement will be governed by the separate agreement you enter into with the Campaign Partner. That agreement will require you to assign ownership of such content to MoonPay and will include requirements for compliance with the Federal Trade Commission’s Endorsement Guidelines and other applicable advertising regulations, including sponsorship disclosure obligations. You should review any Campaign Partner agreement carefully before signing, as it will supersede the general ownership terms described in this section with respect to the applicable campaign content.

Communications

a. Program Communications.

By applying to the Program, you agree that MoonPay may contact you by email or other means regarding your application status, Program activities, administrative updates, selection notifications, and other matters related to the operation of the Program. These communications are a necessary part of Program administration, and you may not opt out of them while your application is pending or while you are a participant in the Program. If you wish to stop receiving Program communications, you may withdraw your application or discontinue your participation.

b. Marketing Communications.

During the application process, you may be given the opportunity to opt in to receive general marketing communications from MoonPay, such as newsletters, product updates, and promotional materials unrelated to the Program. These communications are optional. If you opt in, you may unsubscribe at any time using the unsubscribe link included in each communication. Opting out of marketing communications will not affect your eligibility for or participation in the Program.

Marketing Disclosures

If you create or publish content relating to MoonPay or a Program partner and receive compensation, free products, or another material benefit in connection with that content, you must clearly disclose that relationship as required by applicable law and platform rules. MoonPay may provide additional disclosure requirements for particular campaigns.

Name, Image, and Program Participation

If you voluntarily participate in a MoonPay event, interview, photograph, recording, or similar Program activity, MoonPay may ask you for separate permission to use your name, image, likeness, voice, or statements for promotional purposes.

Participation in the Program alone does not give MoonPay an unrestricted right to use your likeness outside the permissions you provide.

Conduct

Participants are expected to act professionally and respectfully when participating in the Program.

You may not:

misrepresent your relationship with MoonPay;
make unauthorized commitments or statements on MoonPay’s behalf;
engage in harassment, discrimination, fraud, or unlawful conduct;
misuse MoonPay systems, APIs, confidential information, branding, or intellectual property; or
engage in conduct that MoonPay reasonably determines could harm the Program, its participants, MoonPay, or its partners.

No Agency or Employment Relationship

Participation in the Program does not make you an employee, agent, representative, partner, or joint venturer of MoonPay.

You may describe yourself as a participant in the MoonPay College Program, but you may not enter into agreements, make commitments, provide legal or financial representations, or otherwise act on MoonPay’s behalf.

Nothing in the Program guarantees employment or any future business relationship with MoonPay.

MoonPay Name and Branding

MoonPay may provide limited permission to use certain names, logos, or other brand materials in connection with Program activities. You may use those materials only as instructed by MoonPay and must stop using them if requested. Except for this limited permission, these Terms do not grant you any rights in MoonPay’s intellectual property.

Confidential Information

You may occasionally receive information that MoonPay identifies as confidential or that reasonably should be understood to be confidential. You may not disclose or use such information except for the Program purpose for which it was provided. MoonPay may require a separate confidentiality agreement before providing access to certain information or activities.

Taxes

Your participation in the Program may result in taxable income. For example, compensation earned through content creation engagements with a Campaign Partner, as well as merchandise, products, event access, promotional items, or other benefits received from MoonPay or Program sponsors, may be considered taxable income under applicable federal, state, or local tax laws.

You are solely responsible for determining and satisfying any tax obligations arising from your participation in the Program, including any compensation, products, benefits, or other items of value you receive in connection with the Program, whether provided by MoonPay, a Campaign Partner, a sponsor, or any other party.

MoonPay or another applicable payer may request tax documentation or provide tax reporting where required by law.

Changes to or Removal from the Program

MoonPay may modify, suspend, or discontinue the Program, or any part of it, at any time.

MoonPay may also suspend or remove a participant from the Program if the participant violates these Terms, fails to satisfy Program requirements, or if MoonPay otherwise determines that continued participation is inappropriate.

You may stop participating at any time.

Program activities may involve third-party platforms, agencies, sponsors, event providers, or other partners. Their separate terms and privacy practices may apply to your interactions with them.

If you are selected for a content creation or other paid opportunity, you acknowledge and consent to MoonPay sharing information reasonably necessary for that engagement, such as your name, contact information, school, and social media handles, with the applicable Campaign Partner engaged to manage that opportunity. MoonPay will not share your application materials with sponsors, event partners, or other third parties for their own purposes.

MoonPay’s use of your personal information in connection with the Program is described in the MoonPay College Privacy Notice, available at the MoonPay College Privacy Policy. You are encouraged to review the privacy policies of any Campaign Partner or third party with whom you engage.

MoonPay is not responsible for third-party products or services except as required by applicable law.

Disclaimer

The Program and Program benefits are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, MoonPay makes no warranties regarding the Program, including the availability of particular opportunities, benefits, events, mentorship, technical resources, or future participation.

Limitation of Liability

To the fullest extent permitted by applicable law, MoonPay will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Program. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Program shall be subject to the arbitration, class action waiver, and dispute resolution provisions set forth in the Terms of Use, which are incorporated herein by reference and apply to these Terms as if fully set forth herein. For purposes of the Terms of Use’s dispute resolution provisions, references to the “Terms of Use,” “Services,” or related terms shall be deemed to include these Campus Leader Program Terms and the Program.

Changes to These Terms

MoonPay may update these Terms from time to time. The version posted on the Program website will identify the date it was last updated.

Material changes that affect existing participants may be communicated separately where appropriate.
